As previously disclosed in public announcements, the dividend consists of a distribution of a new class of preferred stock to shareholders of record. The stock is not convertible but may be redeemed at the Company’s discretion on or before October 25, 2034, at a rate of ten (10) shares of common stock for each preferred share.
