New York City, May 10, 2024 - Coinbase's legal chief, Paul Grewal, has leveled accusations of inconsistency against the Securities and Exchange Commission (SEC) in response to the recent denial of the exchange's request to file an interlocutory appeal. In a series of tweets posted today, Grewal highlighted the SEC's contradictory stance on interlocutory appeals as evidenced by its own request for a similar appeal in the Ripple Labs lawsuit.

"Today, the SEC filed its response to our request to file an interlocutory appeal with the 2nd Circuit," Grewal tweeted. "The Commission couldn't help contradicting its own arguments for the same kind of appeal in Ripple."

Coinbase's legal team had filed a motion to dismiss the SEC's lawsuit against the exchange in April, arguing that the SEC's claims were incorrect and seeking the dismissal of the case. After the judge denied the motion, Coinbase requested a rehearing and subsequently sought permission to appeal the decision.

However, the SEC has maintained that the case is not yet ripe for appellate review, arguing that it is "premature" and would "disrupt the orderly progress" of the litigation. Coinbase, on the other hand, contends that the interlocutory appeal is necessary to address the "serious legal errors" made by the district court and to avoid "irreparable harm" to the exchange.

Grewal criticized the SEC's approach as "contradictory" and called for "honest conversations" between the regulator and the exchange.

"Let's at least have an honest conversation," Grewal tweeted. "Forget about a split across agencies, circuits and elsewhere. There's not even a consensus about Howey and digital assets among the district judges in the same courthouse at Foley Square."

The Howey Test is a legal framework used by the SEC to determine whether an investment contract constitutes a security. Coinbase has argued that its digital asset lending products do not meet the criteria of the Howey Test and are therefore not securities.

The SEC's denial of Coinbase's request for an interlocutory appeal is a setback for the exchange in its ongoing legal battle with the regulator. However, Coinbase has vowed to continue challenging the SEC's claims and to defend the interests of its customers.

Coinbase's legal team has expressed confidence in the merits of their case and has stated that they are "prepared to vigorously defend it at every level of the judicial process."
