Cedar Innovation Foundation Requests SEC Communications in Debt Box Case
May 09, 2024 at 02:47 am
The Cedar Innovation Foundation (CIF) has filed a Freedom of Information Act (FOIA) request for communications between SEC Chair Gary Gensler and Enforcement Director Gurbir Grewal regarding the Debt Box case. CIF seeks transparency in light of SEC attorneys' resignations and concerns about potential organizational issues raised by the SEC's handling of the case, which involved accusations against the crypto company Debt Box and ended with the SEC being ordered to cover the company's legal fees.

Cedar Innovation Foundation Files FOIA Request for SEC Communications in Debt Box Case
The Cedar Innovation Foundation (CIF), a non-profit organization dedicated to educating the public about cryptocurrencies, has filed a Freedom of Information Act (FOIA) request seeking the release of all communications between Securities and Exchange Commission (SEC) Chair Gary Gensler and Enforcement Director Gurbir Grewal regarding the recent Debt Box case.
The FOIA request stems from the controversy surrounding the SEC's handling of the Debt Box case, in which the agency was accused of making "materially false and misleading representations" during its efforts to obtain a temporary restraining order against the Utah-based crypto company. The SEC's actions were ultimately rejected by U.S. Chief District Judge Robert Shelby of the District of Utah, who ordered the agency to pay Debt Box's legal fees.
In December 2023, Judge Shelby expressed concern over the SEC's conduct, stating that it "undermined the integrity of the legal process." The SEC acknowledged its failure to meet its own standards, but maintained that its actions were justified.
Following the court's decision, two senior SEC attorneys, Michael Welsh and Joseph Watkins, who were involved in the Debt Box case, resigned from the agency. It is believed that both attorneys were given the option to resign or face termination.
CIF spokesperson Josh Vlasto has emphasized the need for transparency in the handling of the Debt Box case, suggesting that the resignations of the SEC attorneys could be indicative of deeper problems within the agency.
"The public has a right to know how the SEC handled this case and why two senior attorneys have resigned," said Vlasto. "This FOIA request is an important step towards shedding light on these matters and ensuring accountability."
The FOIA request seeks a broad range of communications between Gensler and Grewal, including emails, text messages, and meeting notes. CIF believes that these documents will provide valuable insights into the decision-making process within the SEC and help to ensure that the agency is held accountable for its actions.
The SEC has 20 business days to respond to the FOIA request. CIF is committed to pursuing all legal options to obtain the requested communications and make them available to the public.
Background of the Debt Box Case
The Debt Box case began in October 2023, when the SEC filed a complaint alleging that the company had engaged in fraud and the unlawful sale of digital asset securities. The SEC sought a temporary restraining order to freeze Debt Box's assets and prevent it from continuing to sell its products.
However, Judge Shelby rejected the SEC's request, finding that the agency had failed to prove its case. In his ruling, Judge Shelby highlighted several "materially false and misleading representations" made by the SEC, including the agency's claim that Debt Box was operating as an unregistered broker-dealer.
In March 2024, the court ordered the SEC to pay Debt Box's legal fees, totaling over $1 million. The ruling was a significant setback for the SEC and has raised questions about the agency's enforcement practices.
The Debt Box case has also sparked calls for greater oversight of the SEC. Critics argue that the agency has become too aggressive in its pursuit of enforcement actions and that it needs to be more accountable for its actions.
