The move is the latest in a series of regulatory actions taken by the SEC against crypto service providers in recent months.

Industry Experts Question SEC's Approach

Legal experts in the industry have expressed concern over the SEC's approach to regulating cryptocurrencies, alleging that the agency has engaged in a "carpet bombing" campaign against the sector. Rodrigo Silva-Herzog, former Paradigm executive and current legal counsel for Cooley LLP, stated that the Wells notice against Robinhood's crypto division is a continuation of this aggressive strategy.

"The SEC has been on a regulatory rampage against crypto," said Silva-Herzog. "This latest action against Robinhood is just another example of their 'carpet bombing' campaign against the industry."

Jake Chervinsky, Chief Legal Officer of Variant Fund, echoed Silva-Herzog's sentiments, condemning the SEC for abusing the Wells notice as a scare tactic. Chervinsky questioned the SEC's ability to handle the numerous enforcement actions it has launched in recent months.

"The number of Wells notices that the SEC has issued in recent months is staggering," said Chervinsky. "It raises serious questions about the agency's capacity to effectively pursue so many enforcement actions at once."

Robinhood CLO Dan Gallagher Expresses Disappointment

Robinhood's Chief Legal Officer, Dan Gallagher, expressed disappointment with the SEC's actions in a blog post published on Monday, May 6. Gallagher, a former SEC commissioner appointed by President Obama, emphasized the company's commitment to regulatory compliance and its efforts to work with the SEC to achieve clarity.

"After years of good faith attempts to engage with the SEC for regulatory clarity, including our well-known attempt to 'come in and register,' we are disappointed that the agency has decided to issue a Wells Notice related to our U.S. crypto business," said Gallagher.

Robinhood Defends Its Crypto Offerings

Robinhood maintains that its crypto offerings do not constitute securities and is prepared to defend its position against any SEC enforcement action.

"We believe that our offerings are not securities and are confident that we can demonstrate how weak any case against our firm by the SEC would be on both the facts and the law," said Gallagher.
