Coinbase Hit with Renewed Lawsuit Over Security Deception

May 05, 2024 at 05:24 pm

Coinbase, the largest cryptocurrency exchange in the US, and its CEO Brian Armstrong face a new class-action lawsuit alleging investor deception. The lawsuit, filed by customers in California and Florida, claims that Coinbase knowingly sold digital asset securities in violation of state laws. The plaintiffs seek full rescission, damages, and injunctive relief. Coinbase has previously faced similar allegations, arguing that secondary crypto asset sales do not meet securities transaction criteria.

Coinbase Faces Renewed Securities Deception Claims in Class-Action Lawsuit

Coinbase, the leading cryptocurrency exchange in the United States by trading volume, is embroiled in a fresh legal battle with allegations of investor deception. A class-action lawsuit filed in California's Northern District accuses the company of knowingly selling digital assets as securities, violating state laws.

Spearheaded by law firm Scott+Scott, the lawsuit represents a group of plaintiffs who allege that Coinbase's business model has been illegal since its inception. The plaintiffs maintain that eight specific digital assets sold by the exchange, including Solana (SOL), Polygon (MATIC), and Uniswap (UNI), constitute securities under state law.

"Coinbase has engaged in the unauthorized offer and sale of securities by selling unlawfully unregistered digital assets to California and Florida residents," the complaint states.

The plaintiffs argue that Coinbase's user agreement acknowledges its status as a "Securities Broker," categorizing the digital assets sold as investment contracts or other securities. They also claim that Coinbase's prime brokerage division operates as a securities broker/dealer.

The plaintiffs are seeking complete rescission of their investments, statutory damages under state law, and injunctive relief through a jury trial. This lawsuit echoes a previous class-action suit alleging similar consumer harm from Coinbase's sale of securities.

Coinbase has previously disputed the relevance of securities regulations to secondary crypto asset sales, arguing that they do not meet the criteria for securities transactions. However, courts have examined various aspects of the issue, overturning some lower court decisions while upholding others.

The latest lawsuit is distinct from Coinbase's ongoing legal battle with the Securities and Exchange Commission (SEC) over the classification of tokens sold on its platform as securities. Coinbase recently filed an interlocutory appeal challenging a judge's decision allowing the case to proceed.

Meanwhile, crypto lawyer John Deaton, who is currently running for the U.S. Senate, filed an amicus brief in support of Coinbase's appeal, representing 4,701 Coinbase customers.

Amidst these legal challenges, Coinbase reported a strong rebound in the first quarter of 2024. Fueled by market recovery and the launch of Bitcoin exchange-traded funds (ETFs), the exchange posted $1.6 billion in revenue and $1.2 billion in net income, yielding $1 billion in Adjusted EBITDA (earnings before interest, taxes, depreciation, and amortization).

Despite its financial resurgence, Coinbase continues to face scrutiny over its regulatory compliance and the legal implications of its digital asset offerings. The outcome of the class-action lawsuit and its ongoing dispute with the SEC will have significant implications for the cryptocurrency exchange industry.
