US SEC Blocks DeFi Development Corp's $1 Billion Solana Token Offering
Jun 12, 2025 at 10:54 am
The U.S. Securities and Exchange Commission (SEC) has blocked DeFi Development Corp.'s $1 billion registration filing.

The U.S. Securities and Exchange Commission (SEC) has blocked the registration filing of DeFi Development Corp., halting the company’s plans to raise $1 billion for investments in the Solana blockchain, according to a recent report by AZ Central.
The SEC’s decision to block the filing arose from a compliance issue with the company’s documentation. In its Form S-3 registration, DeFi Development failed to include the required internal controls report in the Form 10-K.
This report is a standard requirement for any company preparing to file for capital raises and carry out securities offerings. Without this critical report, the SEC deemed the filing ineligible, leading to the company’s withdrawal of the $1 billion registration.
Previously operating as Janover, DeFi Development Corp began the process of registering for the offering in late April. The company’s aim was to secure over $1 billion for general corporate purposes, which would include purchasing units of Solana.
According to a 134a3 filing from April 27, part of the funds would be channelled into investing in Solana, the sixth-largest cryptocurrency by market capitalization at the time.
However, the SEC blocked the filing on May 12, noting the deficiency in the company’s registration statement. Specifically, the SEC pointed out the lack of an internal controls report required by Section 13(a) of the Securities Exchange Act of 1934.
This report, also known as a Section 404(b) report, is a key component of a company’s annual report, prepared in accordance with standard accounting practice. It serves to assess the effectiveness of the company’s internal controls over financial reporting.
The absence of this report, despite the company’s efforts to prepare for the offering with a Form S-3 and an updated 10-K, ultimately led to the SEC’s decision to halt the filing.
Despite the setback, DeFi Development Corp has stated its intention to refile the registration in the future after addressing the SEC’s concerns. The company also clarified that no securities were issued during this process.
The main purpose of the $1 billion filing was to acquire units of Solana tokens. Solana was a primary focus for the company due to its positioning in the cryptocurrency market.
The filing explained that part of the funds would be used to invest in Solana, similar to the company’s Strategy Bitcoin plan, and that they would benefit from potential staking rewards.
Staking rewards in Solana would provide an opportunity for income generation, but only if the value of Solana increases after the tokens are purchased.
The company explained this in its filing, stating that the funds raised would go towards acquiring Solana with the expectation of generating a return from staking activities. However, the future of this investment plan now hangs in the balance following the SEC’s actions.
