The U.S. Securities and Exchange Commission (SEC) has blocked the registration filing of DeFi Development Corp., halting the company’s plans to raise $1 billion for investments in the Solana blockchain, according to a recent report by AZ Central.

The SEC’s decision to block the filing arose from a compliance issue with the company’s documentation. In its Form S-3 registration, DeFi Development failed to include the required internal controls report in the Form 10-K.

Previously operating as Janover, DeFi Development Corp began the process of registering for the offering in late April. The company’s aim was to secure over $1 billion for general corporate purposes, which would include purchasing units of Solana.

According to a 134a3 filing from April 27, part of the funds would be channelled into investing in Solana, the sixth-largest cryptocurrency by market capitalization at the time.

However, the SEC blocked the filing on May 12, noting the deficiency in the company’s registration statement. Specifically, the SEC pointed out the lack of an internal controls report required by Section 13(a) of the Securities Exchange Act of 1934.

The absence of this report, despite the company’s efforts to prepare for the offering with a Form S-3 and an updated 10-K, ultimately led to the SEC’s decision to halt the filing.

Despite the setback, DeFi Development Corp has stated its intention to refile the registration in the future after addressing the SEC’s concerns. The company also clarified that no securities were issued during this process.
