TOKYO, Japan - In a transaction valued at approximately $1.84 billion, Japanese state-backed investment fund INCJ has announced the sale of the majority of its stake in semiconductor manufacturer Renesas Electronics. The transaction involved the offloading of 279 billion yen ($1.84 billion) worth of shares, primarily to overseas institutional investors.

The sale price of 2,143 yen per share represents an 8.01% discount on Renesas' closing share price of 2,329.5 yen on Thursday, as stated by INCJ in a separate statement on Friday. Renesas shares experienced a decline of 4.5% to 2,224 yen by mid-morning on Friday.

Prior to the transaction, INCJ held 6.65% of Renesas' shares, according to a statement released on Thursday. Following the sale, INCJ retains a marginal holding of only 75 shares, in contrast to the previous 130 million shares held.

As per data from Dealogic, this transaction ranks as the fifth-largest block trade in Asia so far this year and the second-largest in Japan since 2020. The divestment marks a significant step in INCJ's strategy of exiting its investments in Renesas.

Renesas faced significant financial challenges due to intense competition from overseas rivals like Samsung Electronics.

The Japanese government aimed to prevent Renesas technology from falling into foreign hands in response to a takeover bid from U.S. private equity firm KKR & Co.

In recent years, INCJ has progressively sold off its stake in Renesas, aligning with its plan to exit all of its investments by March 2025.
