The US Securities and Exchange Commission (SEC) has sent a Wells Notice to American fintech broker Robinhood regarding its cryptocurrency division, potentially initiating legal action for violating securities laws despite the company's belief in its assets not being securities.

Robinhood Under SEC Scrutiny for Cryptocurrency Division
Washington, D.C. - The United States Securities and Exchange Commission (SEC) has issued a Wells Notice to Robinhood Markets, Inc. (Robinhood), a leading American fintech broker, alleging violations of securities laws related to the company's cryptocurrency division.
According to the Wells Notice, the SEC is considering filing a lawsuit against Robinhood's cryptocurrency business, claiming that certain digital assets offered on the platform may constitute securities. The Notice is the latest development in the SEC's ongoing efforts to regulate the burgeoning cryptocurrency market.
Robinhood has expressed disappointment over the SEC's action. In a statement, the company's chief legal officer and compliance officer, Dan Gallagher, affirmed that Robinhood "firmly believes that the assets that are presented on our platform are not securities." The company indicated its intention to collaborate with the SEC to clarify its position on the matter.
The SEC has been actively investigating Robinhood's cryptocurrency activities since last year, when it issued a subpoena to the company. Robinhood's cryptocurrency division enables users to trade and sell a range of digital assets, including Bitcoin, Ethereum, Dogecoin, and Shiba Inu. In 2022, Robinhood expanded its services by introducing a non-custodial crypto wallet, initially available to iOS users and later extended to Android.
The news of the SEC's Wells Notice has negatively impacted Robinhood's stock price, which fell nearly 7% to $17.56, according to MarketWatch data.
SEC's Broader Crackdown on Cryptocurrency Market
The SEC's action against Robinhood is part of a broader crackdown on the cryptocurrency market. In April, the SEC issued a Wells Notice to Uniswap, a decentralized exchange. The SEC alleged that Uniswap's marketplace platform and wallet do not meet the legal definition of an exchange or securities broker. The Commission's action led to a significant decline in the value of Uniswap's native token, UNI.
The SEC has also targeted the Ethereum Foundation, which is responsible for developing infrastructure for the world's second-largest cryptocurrency by market capitalization. Some experts believe that the SEC's actions indicate that the regulator is considering classifying Ethereum as a security.
