Memecoins have been in the news lately, primarily driven by the launch of the President's $TRUMP coin. Recently, the U.S. SEC clarified that, for the most part, memecoins are not securities as they don't meet the Howey test.

Memecoins have been making headlines, especially with the launch of President's $Trump coin, which is said to have made entities close to a cool $100 million in trading fees in under two weeks.
However, as Janine Grainger from New Zealand-based Easy Crypto explains in her analysis, the coin's market value, which peaked at $14.5 billion, crashed by two-thirds, and hundreds of thousands of everyday investors are reported to have lost significant sums.
Meanwhile, in late 2024, when Trump announced a Department of Government Efficiency (DOGE), the cryptocurrency Dogecoin surged 150%, far outpacing bitcoin's gains.
These moments have put meme coins firmly on the investment radar. But fueled by hype rather than utility, they create both opportunities and risks for investors, and financial advisors will need to understand their unique market dynamics, as HNW clients may inquire despite their speculative nature.
In her post, Grainger further noted that while utility-driven crypto faces scrutiny and legal hurdles, memecoins operate in a grey area as they don't make any promises of financial returns, which has ultimately helped them thrive.
"Ironically, the SEC's regulatory stance has aided memecoins. While utility-driven crypto faces a steeper hill to climb with the Howey test and the threat of SEC action, memecoins exist in a less scrutinized space," she wrote.
"This has allowed them to flourish, becoming a key part of the crypto landscape. However, for advisors, it's crucial to understand that memecoins are fundamentally different from other cryptoassets."
This comes as the SEC has been increasingly focused on regulating the crypto industry. In a recent statement, the SEC said that, for the most part, memecoins are not securities as they don't meet the Howey test.
But while this may come as a relief to those involved in the memecoin sphere, it also raises questions about how else the regulator will approach the crypto sector.
"While this statement provides some clarity, it's important to note that individual memecoins may still be subject to securities laws based on the specific terms of their offering and the activities of the issuers," the SEC said.
"The Division of Corporation Finance will continue to review and provide feedback on initial coin offerings and other digital asset products to advise issuers of their obligations under the federal securities laws."
As advisors are aware, the Howey test is a legal standard used to determine whether an investment contract, or security, exists. To pass the test, an investment must involve:
An investment of money or other valuable consideration in a common enterprise, with a reasonable expectation of profit to be derived from the efforts of others.
The Supreme Court case that established the test involved the sale of orange trees to investors, who were then promised a share of the profits from the fruit harvest.
The memecoin sector has also seen a rise in so-called 'rug pulls,' where founders of coins can shut down a project and run off with the remaining funds.
Earlier this year, a new meme coin called $Trump was launched by the President-Elect.
The coin's market value peaked at $14.5 billion within two days, but it soon crashed by two-thirds, and entities behind the coin are said to have made close to $100 million in trading fees in less than two weeks.
However, hundreds of thousands of everyday investors are reported to have lost significant amounts of money.
Meanwhile, in late 2024, when Trump announced a Department of Government Efficiency (DOGE), the cryptocurrency Dogecoin surged 150%, far outpacing bitcoin's gains.
The move came after the president's campaign slogan, "Make American Economical Again," and his pro-crypto stance, sparked widespread interest in cryptocurrencies, especially Dogecoin, which aligns with his focus on efficient government operations.
"The president's campaign promises and his integration of crypto trends into his administration have created a unique investment climate, blurring the lines between political campaigns, economic policies, and cryptocurrency speculation," Grainger added.
"This fusion has attracted both opportunities and risks for investors, requiring financial advisors to navigate the speculative meme coin market and provide guidance to HNW clients who may be inquiring about these assets."
Indeed, Trump's integration of crypto into his administration, with the creation of a Dogecoin-themed government department, further amplifies the role of meme coins in current economic and political discourse.
"While meme coins offer a glimpse into the playful side of crypto, they are ultimately high-risk assets that require careful consideration. As financial advisors, remaining informed about the rapid changes in the crypto landscape and their implications for investors is paramount," Grainger concluded.
The memecoin sector is known for its rapid price movements and potential for both substantial gains and significant losses.
"Investors must remain cautious as many memecoins lack transparency. For those still interested, key risk factors include the
